Company secretary is a dream job in any country. The person who seek for development in career catch the idea to obtain secretary license. Any graduate can take admission of chartered secretary and gradually pass one by one. After completion all subjects is eligible to take exam in SSM. On the other hand, after graduation can practice in secretary firm for 3-5 years and submit the thesis. If you are qualified is eligible to attend in next exam. Once obtain license can start company secretarial practice yourself.


Company Registration: Company secretary is only one authorized person who can proceed to register sdn bhd company in Malaysia. Other qualified members are not eligible to act as secretary by law. All papers will be prepared by secretary to submit to SSM.

Board Resolution: Secretary is the responsible to prepare any board resolution for the company. There are few categories of board meeting like general meeting, ordinary meeting and annual general meeting. When directors sit in meeting any decisions are made, secretary take a note. Later, prepare board resolution and take signature from board chairman to pass the decision.

Record: Secretary will keep all records of share transfer, appoint new director, register book, share certificate and all meeting record.

Share issue: When shares are purchased, and transfer secretary keep record of them and do the needful as legal format. Issue certificate against total number of shares to the shareholders.

Appointment: As auditor must appoint by the meeting of directors of the company for a whole year so Secretary prepare the documents. Besides, hiring any senior operation person might need a permission from board meeting.

Profit: When company declare any revenue of the year by AGM secretary take into execution by legal frame. Allocate profit as number of shares and value of each share to shareholders.

Share Market: Taking company into public limited from private limited and later make in stock exchange listing whole process are done by secretary. A lot of rules must maintain by the secretary to meet requirement.

As Company Act and SSM guideline, every company must hire a Malaysian company secretary for all types of company. There is no way company can alive without any secretary of that company. Even, one secretary retires another secretary must appoint within short period to avoid penalty. As secretary is well known person about rules and law of SSM.
